End User License Agreement

License & access

1. SaaS license

Subject to this EULA and your applicable subscription, MKRadius grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business operations.

2. Account access

You are responsible for all activity that occurs under your accounts, including activity by employees, contractors, agents, and any third parties you authorize. You must keep account credentials confidential and notify us promptly of any suspected unauthorized access.

3. Restrictions

You agree not to, and not to allow others to:

• Reverse engineer, decompile, disassemble, or attempt to discover source code or trade secrets.
• Copy, modify, or create derivative works of the Service except as explicitly permitted.
• Resell, rent, lease, sublicense, or provide the Service to third parties except under a written partner or reseller agreement.
• Use the Service to build or benchmark a competing product.
• Interfere with the integrity, availability, or performance of the Service.

Customer responsibilities

1. Lawful use

You are solely responsible for ensuring your use of the Service complies with all applicable laws, regulations, and industry requirements, including telecommunications, licensing, data protection, and lawful intercept requirements where applicable.

2. Customer data

You are responsible for the accuracy, quality, and legality of all data you submit to the Service ("Customer Data"), including subscriber data, billing records, network identifiers, and authentication information.

3. Acceptable use

You must not use the Service to:

• Process unlawful, fraudulent, or abusive activity.
• Transmit malware, spam, or harmful content.
• Attempt to gain unauthorized access to systems, networks, or data.
• Overload, disrupt, or degrade the Service or third-party infrastructure.

4. Third-party systems

MKRadius integrates with third-party systems such as routers, NAS devices, payment gateways, SMS providers, email providers, and messaging platforms. You are responsible for maintaining the necessary accounts, permissions, and compliance obligations for those systems.

Billing, terms & changes

1. Subscriptions

The Service is provided on a subscription basis under your selected plan and billing cycle. Your subscription defines limits such as users, NAS/routers, features, integrations, and support levels.

2. Fees & payment

You agree to pay all applicable fees. Unless otherwise stated in writing:

• Fees are billed in advance for the selected billing period.
• Fees are non-refundable except where required by law.
• Late or failed payments may result in suspension or restricted access.

3. Plan changes

You may upgrade or change plans. Plan changes may take effect immediately or at the start of the next billing cycle, depending on the plan and contract terms.

4. Service updates

We may update, enhance, or modify the Service from time to time. We will not materially reduce core functionality during an active subscription without providing reasonable notice, except where changes are required for security, legal compliance, or platform stability.

Security, data & privacy

1. Security program

We implement administrative, technical, and organizational safeguards designed to protect the Service and Customer Data. Security measures are continuously reviewed and may evolve as part of our standard operations.

2. Data ownership

As between the parties, you retain all rights, title, and interest in and to Customer Data. MKRadius does not claim ownership of your Customer Data.

3. Data processing

We process Customer Data solely to provide, maintain, and improve the Service, and as otherwise permitted by this EULA and our Privacy Policy. You are responsible for obtaining all required consents and notices for data you submit to the Service.

4. Backups & retention

We may perform routine backups for operational resilience. You remain responsible for your own business continuity planning and maintaining any additional backups you require for compliance or audit purposes.

IP, warranty & liability

1. Intellectual property

The Service, including all software, workflows, interfaces, documentation, and related materials, is owned by MKRadius and its licensors and is protected by applicable intellectual property laws. Except for the limited rights granted in this EULA, we reserve all rights.

2. Feedback

If you provide suggestions, ideas, or feedback, you grant MKRadius a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or obligation.

3. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MKRadius disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

4. Limitation of liability

To the maximum extent permitted by law, MKRadius will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill. MKRadius's total aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you to MKRadius for the Service during the twelve (12) months preceding the event giving rise to the claim.

5. Suspension & termination

We may suspend or terminate access to the Service if you materially breach this EULA, fail to pay applicable fees, or if your use poses a security, legal, or operational risk. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including IP, disclaimers, and limitations of liability.
